Terms of Service
These terms cover buying and using Tical. They include the licence for the software itself, so there is no separate agreement to read — this is the whole thing. We have tried to write it in plain language rather than the usual fog.

1. Who you are dealing with
Tical is made and sold by:

Referred to below as “we”, “us” or “Tical Software”. “You” is whoever is reading this and using or buying the software.
2. What the words mean
- The App — the Tical desktop application for Windows, including the plugins and exporters we ship with it.
- The Site — this website and the licence server behind it.
- Licence Key — the signed text we issue to you, which unlocks the paid edition of the App on one computer.
- Hardware Code — the
TICALHW2.…string the App generates, identifying the computer a Licence Key will be bound to. - Major Version — the first number in a release version, so 2.4.1 and 2.9.0 share the major version 2.
3. Accepting these terms
You accept these terms by installing the App, by buying a licence, or by using the Site. If you do not accept them, do not do those things — and if you have already paid, see section 9, which is likely to get your money back.
If you are buying on behalf of a company, you confirm you are allowed to commit that company to these terms.
4. The free edition
The App can be downloaded and used free of charge, with no time limit. No card details are required, there is no account to create and there is nothing to cancel. The free edition is provided as-is and comes with no warranty of any kind.
The free edition is limited: it holds one workspace and up to three projects, and it does not load plugins or exporters. Everything else the App does is there.
Buying a Licence Key lifts those limits on the copy you already have. Nothing is downloaded again and no data is touched — your entries stay in the database file on your disk, and the paid edition picks up exactly where you left off.
5. Buying a licence
Prices are shown on the pricing section of this site and are what you pay at the moment you order — a later price change never affects a licence you already bought. Whether the displayed price includes VAT, and at what rate, depends on where you are; Stripe determines and shows this at checkout before you confirm.
Payment is taken by Stripe, which is where checkout actually happens. We never see or hold your card details. Your contract for the licence is with us; your payment relationship for that transaction is subject to Stripe's terms as well.
A licence is a one-time purchase. There is no subscription, no recurring charge and nothing to renew or cancel.
After payment, Stripe emails you a receipt containing a redemption link. Opening that link and supplying your Hardware Code is what produces your Licence Key. The link is single-use: once redeemed, it has done its job.
6. What your licence lets you do
On payment in full, we grant you a perpetual, worldwide, non-exclusive, non-transferable licence to install and use the paid edition of the App, subject to these terms. Specifically:
- Perpetual — it does not expire. If we stop selling Tical tomorrow, your copy keeps working.
- One computer — each Licence Key is cryptographically bound to the Hardware Code of a single machine and will not unlock the App on another. Need Tical on a second computer? That is a second licence — or, if you have replaced the first machine, see section 8.
- Any use — personal, freelance or inside a business. We draw no distinction and charge no more for commercial use.
- Offline — the App verifies your key locally, against a signature, on your own machine. It does not ask our servers for permission to run, and never has to.
We retain ownership of the App. This is a licence to use the software, not a sale of it, and all rights we have not expressly granted stay with us.
7. What it does not let you do
You agree not to:
- share, publish, resell, sublicense or rent out your Licence Key;
- work around the hardware binding, the signature check or any other part of the licensing mechanism, or use a key you did not obtain from us;
- redistribute the App, whether modified or not;
- reverse engineer, decompile or disassemble the App, except exactly as far as applicable law permits regardless of contract — which in the EU includes the interoperability rights under Directive 2009/24/EC, and we do not seek to restrict those;
- remove or obscure copyright or licensing notices;
- use the App or the Site to break the law, or attack the Site — including by circumventing rate limits or attempting to reach the administration endpoints.
Building plugins against our published SDK is expressly not a breach of any of this. See section 12.
8. New computers and re-issues
Hardware changes. If you replace your computer, reinstall Windows, or swap enough components that the Hardware Code no longer matches, email contact@tical.io from the address you bought with, include your licence ID or Stripe receipt, and we will issue a replacement key for the new machine at no charge.
Re-issues are handled by a person, not a form, so allow a little time. We may decline where the pattern of requests suggests a single licence is being used on several machines at once, which is what section 6 does not permit.
9. Refunds and your right of withdrawal
If you are a consumer in the EU, you have a statutory right to withdraw from a distance purchase within 14 days, without giving a reason.
Tical is digital content delivered without a physical medium, so one limit applies, and it is the standard one under Art. 16(m) of Directive 2011/83/EU: the right of withdrawal is lost once delivery has begun with your prior express consent and your acknowledgement that you thereby lose it. In practice:
- That consent is requested at checkout, before you pay.
- Delivery begins when you redeem your link and we issue your Licence Key. Up to that moment you can withdraw and get a full refund, no questions asked, even if you have already downloaded and used the free edition.
- After redemption the statutory right no longer applies.
To withdraw, send a clear statement to contact@tical.io within the period — an email saying you wish to withdraw is enough; you do not need a form. We refund to the original payment method within 14 days of being told, and Stripe's own timing then governs when it lands.
If you bought as a business rather than as a consumer, the statutory right does not apply, and refunds are at our discretion under the paragraph above.
10. When a licence is revoked
A Licence Key is revoked automatically when the underlying payment is refunded or charged back. We may also revoke a key where it has been shared publicly, used to circumvent the one-machine limit, or obtained fraudulently.
Be aware of what revocation does and does not mean. Because the App verifies keys offline and never contacts us to ask permission, revoking a key does not reach into an installation that is already running. What it does is end our obligation to support or re-issue that licence, free the machine for a new one, and mark the key so that it stops validating in future releases of the App. Continuing to use the paid edition after a refund is a breach of these terms, and it is your responsibility to stop.
11. Updates and version ceiling
Your licence records the highest Major Version it covers. Every update within that major version — bug fixes, new features, all of it — is included at no extra cost, for as long as we publish them.
A future major version may be a paid upgrade. If it is, your existing licence keeps working on the version it covers, forever. Nothing is taken away from you; you simply choose whether the next one is worth buying.
We do not promise any particular release schedule, and we may change, add or remove features between versions. We are not obliged to keep supporting old Windows versions indefinitely.
12. The SDK, plugins and exporters
Tical's contexts and exporters are ordinary plugins built against the public Tical SDK. Use of the SDK packages is governed by their own licence, which ships with them, and not by these terms. Nothing here restricts your right to write plugins for your own use or to distribute them.
Third-party plugins you install are the responsibility of whoever wrote them. They run with the same access to your data as the App itself. We do not review, endorse or support them, and we are not liable for what they do.
13. Third-party services
Optional features connect to services that are not ours: Google Drive for encrypted sync, and integrations such as Jira, ClickUp, Toggl and Clockify. You use those under your own accounts and their terms. We are not responsible for their availability, their pricing, or what they do with data you send them through your own credentials. If one of them changes an API and breaks an integration, we will fix it where we reasonably can, but we cannot promise to.
14. Availability
The Site is provided without any uptime guarantee. We may take it down for maintenance, and it may fail without warning.
This matters much less than it normally would, and deliberately so: if this server is offline, your installed and activated copy of Tical is entirely unaffected. It verifies your key locally and stores your data locally. Downtime only prevents new purchases, new activations and downloads.
15. Warranty
The App and the Site are provided “as is”. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that it will meet your requirements.
Tical helps you record time. It is not accounting, payroll, legal or tax software, and figures it produces are your drafts to check, not certified records.
If you are a consumer, none of this affects the statutory conformity rights you have under EU and Polish law, which we cannot and do not exclude.
16. Liability
To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost business, or lost or corrupted data arising from your use of the App or the Site.
Where we are liable, our total liability for all claims connected with these terms is limited to the amount you actually paid us for your licence.
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. Consumers' mandatory rights are unaffected.
17. Ending this agreement
You can stop using the App at any time; uninstalling it ends the arrangement on your side. Your data is yours and stays on your disk.
We may terminate your licence if you materially breach these terms — chiefly by sharing keys or circumventing the licensing — and if we do, we will tell you why and give you a reasonable chance to put it right first, unless the breach makes that pointless. On termination you must stop using the paid edition and delete your Licence Key. Sections 15 to 19 survive.
18. Changes to these terms
We may update these terms — for new features, or when the law changes. The version in force for your purchase is the one published when you bought, and we will not apply a later change retroactively to reduce rights you have already paid for. Material changes are announced on this page with a new date, and by email to licence holders where they affect you.
19. Governing law and disputes
These terms are governed by the law of Poland. If you are a consumer resident elsewhere in the EU, this choice does not deprive you of the protection of the mandatory consumer rules of your own country, and you may bring proceedings in your own courts.
Please write to us first — most problems are a misunderstanding and take one email to fix. If that fails, consumers in Poland can seek help from a powiatowy (miejski) rzecznik konsumentów or the Trade Inspection (Inspekcja Handlowa), which offer free out-of-court dispute resolution. We are not obliged to use any particular alternative dispute resolution body and decide case by case.
For business customers, the courts with jurisdiction over our registered address have exclusive jurisdiction.
If any provision of these terms turns out to be unenforceable, the rest stays in force.
